The Constitution of the
Kappa Tetarton Alumni Association
of Phi Sigma Kappa Fraternity
 

ARTICLE I

MEMBERSHIP

 

Section 1. Membership in the Kappa Tetarton Alumni Association of Phi Sigma Kappa Fraternity, Inc. shall be open only to those classes of persons described in this Article and shall be conferred only as provided in this Article.

Section 2. Membership is available to all members of Phi Sigma Kappa defined as any male graduate, former student, faculty or honorary member who shall have completed the required Initiation Ritual and subscribed to the Constitution and By-Laws of the Grand Chapter, and in respect of whom all financial obligations to the Grand Chapter, as set forth in the Grand Chapter By-Laws, shall have been paid in full.

Section 3. Membership can be dissolved only by death or expulsion as provided in the Grand Chapter and Kappa Tetarton Alumni Association By-Laws.

 

ARTICLE II

ORGANIZATION

 

Section 1. The Legislative power of the Alumni Association shall be vested in the members.

 

Section 2. The Executive power of the Alumni Association shall be vested in the Board of Directors, consisting of the Executive and the Directors. The Directors shall serve for such periods of years as prescribed in the By-Laws, and until their successors be qualified and duly elected.

Section 3. The Judicial power of the Alumni Association shall be vested in the Legal Counsel.  Regarding the interpretation of By-Laws, rules and procedural requirements, the Legal Counsel shall serve as Parliamentarian, as such he shall be the final authority within the Alumni Association if a dispute arises.  Legal Counsel shall be appointed by the Executive Board at such times as necessary to resolve Constitutional issues and disputes arising from interpretations of the By-Laws, and shall serve until such a time as the Executive Board deems sufficient. 

 

ARTICLE III

FISCAL

 

Section 1. The fiscal year of the Alumni Association shall begin on October 1 and end on September 30 of the following year.

Section 2. The accounts of the Alumni Association shall be closed annually as of September 30.

Section 3. The accounts of the Alumni Association shall be audited periodically, by a certified public accountant. The time period between audits shall not exceed five (5) years.

Section 4. The accounting system of the Alumni Association shall follow the Generally Accepted Accounting Principles (GAAP) for non-profit corporations as prescribed by the Financial Accounting Standards Board (FASB).

   

ARTICLE V

BY-LAWS

 

Section 1. This Association shall enact By-Laws and policies for the proper conduct of its business, which do not conflict with the Constitution, Certificate of Incorporation, By-Laws, and/or Policies of the Grand Chapter of Phi Sigma Kappa. A copy of the Constitution, Certificate of Incorporation, By-Laws and Policies of this Association shall be filed with the Grand Chapter of Phi Sigma Kappa.

   

ARTICLE VI

AMENDMENTS

 

Section 1. The Constitution, Certificate of Incorporation, and By-Laws of the Alumni Association may be altered or amended only by action of the membership as provided herein. The policies of the Alumni Association may be altered or amended and new policies adopted by action of the Board of Directors; provided however, that the membership shall have the power of veto exercised in a special or general meeting by a majority of those present.

Section 2. A two-thirds majority of the votes cast shall be necessary to amend the Constitution, Certificate of Incorporation, and By-Laws of the Alumni Association.
